We act as an extension of your team from start to finish, providing objective and insightful advice and experience in negotiating and structuring deals that deliver the maximum benefit for our client.

Preparation

At the beginning of any engagement we discuss your strategic and corporate objectives with you in detail, in order to understand your goals and deal criteria. We then conduct comprehensive analysis to draw up a long list of potential acquisitions, based on our knowledge of venture and private equity backed companies and our contacts amongst founder entrepreneurs, management teams, non executive directors and other advisers. We review our long list with you to refine and prioritise the key acquisition targets.

Marketing

Having drawn up a short list, we contact the potential targets by telephone to qualify interest and solicit further technical and financial information. This leads initial meetings or phone calls to enable the first stage of more detailed discussions on the business, typically after execution of a confidentiality agreement. We will conduct initial due diligence with a target to fully understand and analyse the opportunity, and present this back to you along with our analysis on valuation, which is based on the target’s financials, comparable transactions and the relevant listed company universe. If discussions continue, we will front deal negotiations on your behalf if required, leveraging our skills and experience as negotiators as well as our intimate understanding of the needs of all parties, to reach an agreed deal price and structure which maximises the terms for our client.  The deal terms are then drawn up in a signed, non-binding letter of intent (LOI).

Due diligence

After the LOI is signed we rigorously project manage the due diligence process, ensuring that a thorough and comprehensive examination of the target’s business is conducted.  We proactively liaise with other advisers, particularly the lawyers, in the negotiation of the definitive deal documents, utilising our experience and commercial acumen to deal with any issues that arise, in order to see the transaction through to completion.
